Terms of Use

These Terms of Use ("Terms") govern your access to and use of the website located at www.hiveradar.com and any associated subdomains (the "Site"). The Site is operated by HiveRadar Inc., a corporation incorporated in Ontario, Canada ("HiveRadar", "we", "us", or "our").

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

These Terms govern your use of the Site only. Any purchase, license, or use of HiveRadar products, including the Portable Edge Data Center (EDC), Wireless Site Survey Kit (WSSK), Rapid Deployment Kit (RDK), Off-Grid Solutions, accessories, or software (collectively, "HiveRadar Products"), is governed by a separate commercial agreement, quote, purchase order, end-user license agreement, or other written terms applicable to that product.

1. Eligibility

The Site is intended for business and professional use. If you submit information through the Site or otherwise interact with us through it, you represent that you are doing so for legitimate business purposes. If you are acting on behalf of an organization, you represent that you have authority to do so.

2. Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for lawful business purposes, including evaluating HiveRadar Products, accessing publicly available documentation, and contacting us for inquiries.

You agree not to:

  • Use the Site in any manner that violates applicable laws or regulations.
  • Attempt to gain unauthorized access to the Site, its servers, or any related systems or networks.
  • Use any automated means (including bots, scrapers, or crawlers) to access the Site, except for publicly available search engine indexing.
  • Interfere with or disrupt the integrity or performance of the Site.
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of any software made available through the Site, except to the extent permitted by applicable law or by a separate license agreement.
  • Use the Site to transmit malware, viruses, or other harmful code.
  • Misrepresent your identity or affiliation with any person or organization.
  • Use the Site or any content obtained from it to develop a competing product or service.

3. Intellectual Property

All content on the Site, including text, graphics, logos, images, videos, software, documentation, datasheets, product designs, and the overall design and layout, is the property of HiveRadar Inc. or its licensors and is protected by Canadian, United States, and international copyright, trademark, patent, and other intellectual property laws.

"HiveRadar", the HiveRadar logo, "WSSK", "RDK", "Portable Edge Data Center", "Deploy. Connect. Compute.", and related names and logos are trademarks of HiveRadar Inc.

HiveRadar Products are protected by issued patents, including United States Patent No. D837,077 and Canadian Patent No. 177139, and by additional patents pending. Nothing on the Site grants, by implication, estoppel, or otherwise, any license or right under any patent, trademark, copyright, or other intellectual property of HiveRadar Inc. or any third party, except for the limited license expressly granted in Section 2.

4. Third-Party Trademarks and Content

The Site may reference third-party products, vendors, or partners, including but not limited to Ekahau, Ventev, AccelTex, and access-point manufacturers (Cisco, Meraki, Aruba, Ruckus, and others). All third-party trademarks, service marks, trade names, product names, and logos appearing on the Site are the property of their respective owners. Their appearance is for identification and informational purposes only and does not imply endorsement, sponsorship, or affiliation beyond what is expressly stated.

Information about third-party products is provided for general informational purposes only. The original vendor's documentation is the authoritative source.

5. Downloadable Materials and Software

Datasheets, documentation, training videos, and other materials made available for download from the Site are provided for your internal informational use only. You may not redistribute, repost, or commercially exploit such materials without our prior written consent.

Any software made available through the Site, including the HiveRadar Project Planner, is licensed, not sold, and is subject to its own end-user license agreement. In the event of a conflict between these Terms and an applicable end-user license agreement, the end-user license agreement governs with respect to that software.

6. User-Submitted Content

When you submit information through forms on the Site (for example, contact forms, pricing requests, feature requests, OEM inquiries, event sign-ups, or the engineer locator), you represent that:

  • The information you submit is accurate and that you have the right to submit it.
  • Your submission does not violate any third party's rights or any applicable law.
  • You grant us a non-exclusive, royalty-free, worldwide license to use, store, and process the information submitted for the purpose of responding to your inquiry, evaluating product feedback or feature requests, and operating our business.

If you submit a feature request, suggestion, or other feedback, you agree that we may use it without restriction or obligation to you, and that we own any improvements or modifications we make to our products based on such feedback.

We may, but are not obligated to, monitor or remove user-submitted content. We are not responsible for the content of any communications you choose to send to us.

Do not submit confidential information through Site forms unless covered by a separate non-disclosure agreement. Our handling of personal information is described in our Privacy Policy.

7. Privacy and Cookies

Our collection and use of personal information through the Site is governed by our Privacy Policy and Cookies Notice, each of which is incorporated into these Terms by reference.

8. Links to Other Sites; Linking to Our Site

The Site may contain links to third-party websites, including affiliate sites such as Securicore.ca, HiveFi.ca, DatacomSystems.ca, and Securetap.net, as well as third-party vendor and partner sites. Links to non-affiliate sites are provided for convenience only. We do not endorse, control, or assume responsibility for the content, privacy practices, or availability of any third-party site. Your use of any linked site is at your own risk and subject to that site's terms.

You may link to the homepage of the Site provided that:

  • The link is in plain text or uses an approved HiveRadar logo without modification.
  • The link does not imply endorsement, sponsorship, or affiliation that does not exist.
  • The link does not present the Site in a false, misleading, or disparaging manner.
  • The linking site does not contain content that is unlawful, defamatory, infringing, or otherwise objectionable.

You may not frame, mirror, or in-line link the Site or any of its content without our prior written consent. We reserve the right to revoke linking permission at any time.

9. Copyright Infringement Notices

We respect the intellectual property rights of others. If you believe that content on the Site infringes your copyright, please send a written notice to the contact address in Section 15 that includes:

  • Identification of the copyrighted work claimed to have been infringed.
  • Identification of the material on the Site claimed to be infringing, with sufficient detail (including URL) to locate it.
  • Your contact information (name, address, telephone number, email address).
  • A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
  • A statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.
  • Your physical or electronic signature.

We will review notices and respond as we determine appropriate, which may include removing or disabling access to the material.

10. Export Control and Sanctions

You acknowledge that HiveRadar Products, related software, and technical information described or made available on the Site may be subject to Canadian, United States, and other export control and economic sanctions laws and regulations, including the Export and Import Permits Act (Canada), the Special Economic Measures Act (Canada), the United Nations Act (Canada), and applicable regulations of the United States Department of Commerce and Department of the Treasury.

You represent and warrant that:

  • You are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive trade sanctions by the Government of Canada, the United States, the European Union, the United Kingdom, or the United Nations.
  • You are not listed on any restricted-party or denied-party list maintained by any of the foregoing authorities.
  • You will not export, re-export, transfer, or use the Site, any HiveRadar Product, or any technical information obtained through the Site in violation of any applicable export control or sanctions law.

You are responsible for determining whether any product, service, or technical information you obtain through the Site is subject to export controls and for obtaining any required licenses or authorizations.

11. Disclaimers

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR CURRENCY OF ANY CONTENT ON THE SITE, INCLUDING PRODUCT SPECIFICATIONS, DATASHEETS, PRICING INFORMATION, OR AVAILABILITY.

Product images on the Site are for illustration only. Actual products may vary. Product specifications, configurations, and availability are subject to change without notice. Authoritative product information is provided in your written quote or purchase agreement.

Nothing on the Site constitutes legal, financial, regulatory, security, or other professional advice. You should not rely on Site content as a substitute for professional consultation or formal product documentation.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HIVERADAR INC., ITS AFFILIATES, OR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

This Section does not limit any liability that cannot be limited under applicable law. This Section does not apply to product liability under separate commercial agreements, which are governed by their own terms.

13. Indemnification

You agree to indemnify, defend, and hold harmless HiveRadar Inc., its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any rights of another party.

14. Modifications to the Site and to These Terms

We reserve the right, at our sole discretion, to modify, suspend, or discontinue the Site or any portion of it at any time without notice.

We may revise these Terms from time to time. The revised version takes effect when posted, unless a later effective date is specified. Your continued use of the Site after a revised version is posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

15. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or relating to them or to your use of the Site shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.

You agree that the courts located in the City of Toronto, Ontario, Canada shall have exclusive jurisdiction over any such dispute, and you irrevocably submit to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

Notices to you may be sent to the email address you provide to us or posted on the Site, and are deemed given when sent or posted.

17. General

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any provision shall not constitute a waiver of that provision. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms at any time without notice.

These Terms, together with the Privacy Policy and Cookies Notice, constitute the entire agreement between you and us regarding your use of the Site and supersede any prior agreements on that subject. Any separate commercial agreement, end-user license agreement, or product-specific terms govern the matters they address and prevail over these Terms in the event of a conflict on those matters.
